By using Happy Controller you agree to these Terms and our Privacy Policy. You must be at least 18 and have authority to accept these Terms for yourself and for any business and accounts you connect. If you connect a business's accounting platform, you represent that you're authorized to do so and to permit the actions described here on that business's behalf.
Happy Controller is a software layer on top of your accounting software (starting with QuickBooks Online, with others such as Xero intended over time). It helps categorize the long tail of transactions, clean up and explain your numbers, prepare your books for reconciliation, forecast, and answer questions through an AI assistant. It also supports accountant/firm workspaces (managing multiple clients) and conversational messaging (in-app, email, SMS, and Slack). It assists with bookkeeping; it does not replace your accountant, your accounting software, or professional advice, and your accounting software remains your system of record.
Happy Controller is a software tool, not a professional service. We are not your accountant, CPA, auditor, tax preparer, bookkeeper, financial advisor, or attorney, and using it does not create any such relationship. Its outputs — categorizations, vendor names, reports, forecasts, proformas, reconciliation prep, and explanations — are for informational purposes only and are not accounting, tax, financial, investment, or legal advice. Forward-looking figures are estimates, not promises. You are responsible for your books, filings, and decisions, and should confirm with a qualified professional before relying on them. Final reconciliation is certified by you in your accounting software.
Categorizations, vendor names, summaries, answers, and other assistant output are generated by artificial intelligence and may be inaccurate, incomplete, or out of date. You must review and approve what the assistant proposes; we do not warrant its accuracy, and you are responsible for anything you accept, file, or act on. Automated rules you create or confirm will be applied to future transactions until you change them.
To provide the service, you authorize Happy Controller to:
You can review, edit, undo, or reverse the assistant's bookkeeping actions, withdraw these authorizations, and disconnect any platform at any time.
We use email and, where you provide a mobile number or connect Slack, text messages and Slack messages to deliver sign-in (magic-link / one-time) codes, account and service notifications, and conversational messages from the assistant — including, in firm workspaces, messages sent to the business owner on an accountant's behalf to gather or confirm financial information. SMS is sent via Twilio.
You sign in with a magic link — keep access to that email and any connected number/Slack secure, since anyone with them can access your account. In firm workspaces, the account owner controls who may join and what they can access; the business owner controls which of its accounts are connected and can disconnect at any time. Each party is responsible for its own users and for having authority over the data and accounts it connects.
You're responsible for the accuracy of the information and accounts you connect, for reviewing the assistant's work before relying on it, and for your books and filings. Don't use Happy Controller to break the law, infringe others' rights, upload data you lack rights to, or attempt to disrupt, probe, or reverse-engineer the service. We may suspend or terminate accounts that do.
Happy Controller works with third-party services — including Intuit (QuickBooks), other accounting platforms you connect, Anthropic (AI), Twilio (SMS), and Slack. Your use of those services is governed by their terms and privacy policies, and your QuickBooks data and connection remain subject to Intuit's terms. We're not responsible for third-party services, and we may add, change, or remove integrations.
We own the Happy Controller software, brand, and content. You own your data; you grant us a limited, revocable license to process it solely to provide the service. We may use de-identified, aggregated data to operate and improve the product — never your identifiable financial data to train AI.
The service is provided “as is” and “as available,” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that the service or its output will be error-free, uninterrupted, or suitable for your tax, accounting, or financial needs.
To the maximum extent permitted by law, Happy Controller and Visual Country LLC are not liable for any indirect, incidental, special, consequential, or punitive damages, or for any lost profits, lost data, or financial, tax, or regulatory consequences arising from your use of the service or reliance on its output. Our total liability for any claim is limited to the amount you paid us in the 12 months before the claim (or, during the free beta, US $100).
You agree to indemnify and hold harmless Happy Controller and Visual Country LLC from claims arising out of your data, your use of the service, your authorization of actions on accounts you connect, or your breach of these Terms.
You can stop using the service, disconnect your platforms, and delete your data at any time. We may suspend or terminate access for breach or to protect the service. Sections that by their nature should survive (e.g., disclaimers, liability limits, indemnification) survive termination.
To be finalized with counsel. These Terms will be governed by the laws of the State of New York, without regard to conflict-of-laws rules, and the parties will resolve disputes in the courts or by the dispute-resolution method specified in the final version of these Terms.
We may update these Terms as the product grows. We'll post the date above and, for material changes, notify you.
